Breaking: Fiat and Chrysler Agree to Alliance
In breaking news this morning, Chrysler parent company, the investment concern called Cerberus Capitol Management, has signed a non-binding term sheet with Fiat to establish what is being termed a, “global strategic alliance.”
The terms of the deal would seem to be fairly exciting for Chrysler, as well as for those Americans who’ve lusted over some of the Fiat portfolio in the past. Chrysler is set to receive a much needed technology share, gaining access to Fiats platforms for compact and city cars, as well as to very fuel-efficient powertrains. Fiat will also offer Chrysler access distribution in emerging markets that the company hasn’t yet enjoyed.
For its part, Fiat should get an initial 35 percent equity stake in Chrysler, as well as access to Chrysler’s own distribution network within North America. While it isn’t explicitly laid out in the press release, we can’t help but hope that such a deal would pave the way for the oft-discussed return of Fiat sub brand Alfa Romeo to our shores, and in turn, products like its sexy MiTo small hatch. To say nothing of Fiat's own 500 city car.
You’ll find the full Chrysler/Fiat announcement below. Read through it and then give us your take on the pending partnership, in our new forum thread .
Fiat S.p.A., Chrysler LLC (Chrysler) and Cerberus Capital Management L.P., the private investment majority owner of Chrysler LLC, announced today they have signed a non-binding term sheet to establish a global strategic alliance.
The alliance, to be a key element of Chrysler’s viability plan, would provide Chrysler with access to competitive, fuel-efficient vehicle platforms, powertrain, and components to be produced at Chrysler manufacturing sites. Fiat would also provide distribution capabilities in key growth markets, as well as substantial cost savings opportunities. In addition, Fiat would provide management services supporting Chrysler’s submission of a viability plan to the U.S. Treasury as required. Fiat has been very successful in executing its own restructuring over the past several years. The alliance would also allow Fiat Group and Chrysler to take advantage of each other's distribution networks and to optimize fully their respective manufacturing footprint and global supplier base.
The proposed alliance would be consistent with the terms and conditions of the U.S. Treasury financing to Chrysler. Per the U.S. Treasury loan agreement, each constituent will be asked to contribute to Chrysler’s restructuring effort including: lenders, employees, the UAW, dealers, suppliers and Chrysler Financial. Such steps would greatly contribute to Chrysler’s long term viability plan. Completion of the alliance is subject to due diligence and regulatory approvals, including the U.S. Treasury.
As a consideration for Fiat Group’s contribution to the alliance of strategic assets, to include: product and platform sharing, including city and compact segment vehicles, to expand Chrysler’s current product portfolio; technology sharing, including fuel efficient and environmentally friendly powertrain technologies; and access to additional markets, including distribution for Chrysler vehicles in markets outside of North America, Fiat would receive an initial 35 percent equity interest in Chrysler. The alliance does not contemplate that Fiat would make a cash investment in Chrysler or commit to funding Chrysler in the future.
“This initiative represents a key milestone in the rapidly changing landscape of the automotive sector and confirms Fiat and Chrysler commitment and determination to continue to play a significant role in this global process. The agreement will offer both companies opportunities to gain access to most relevant automotive markets with innovative and environmentally friendly product offering, a field in which Fiat is a recognized world leader while benefitting from additional cost synergies. The deal follows a number of targeted alliances and partnerships signed by the Fiat Group with leading carmakers and automotive suppliers over the last five years aimed at supporting the growth and volume aspirations of the partners involved,” the CEO of Fiat Group, Sergio Marchionne said.
"A Chrysler/Fiat partnership is a great fit as it creates the potential for a powerful, new global competitor, offering Chrysler a number of strategic benefits, including access to products that compliment our current portfolio; a distribution network outside North America; and cost savings in design, engineering, manufacturing, purchasing and sales and marketing," said Bob Nardelli, Chairman and CEO of Chrysler LLC. "This transaction will enable Chrysler to offer a broader competitive line-up of vehicles for our dealers and customers that meet emissions and fuel efficiency standards, while adhering to conditions of the Government Loan. The partnership would also provide a return on investment for the American taxpayer by securing the long-term viability of Chrysler brands in the marketplace, sustaining future product and technology development for our country and building renewed consumer confidence, while preserving American jobs."
"This is great news for the UAW Chrysler team and we look forward to supporting and working with them to ensure Chrysler's long term viability,” said Ron Gettelfinger, President United Auto Workers (UAW).
“We're on board with this important strategic initiative as it will help preserve the long-term viability of our great company, its brands and of course UAW-Chrysler jobs,” said General Holiefield, Vice President, United Auto Workers (UAW).

Ah, the memories.
'71 Fiat Spider was my second car, after the '59 Willys Jeep Wagon. Talk about the ying/yang of autos...
Fiat is making some good stuff. I saw it in New Zealand a few years ago. Bring Alfa and Lancia too, por favor.
Lee Iaccoa must love this...

wow, wasn't fiat the same maker that GM was about to get hold of almost 5 years ago?? Things must've been going well for them. Now they turned chrysler to their bitch. Awesome.

Talk about rearranging the deck chairs on the Titanic!
Fiat is bringing no cash to the table. They've simply made a deal to rent the Chrysler dealer network to sell Fiats. Both brands have histories of making vehicles with spotty reliability.
Supposedly Chrysler and Renault/Nissan were going to build small trucks together. I suspect the Fiat deal kills that earlier deal with Renault.

I think this makes more sense than anything I've heard from Chrysler since before the Daimler takeover which never made any sense. I have looked forward to Alpha's return to the U.S.; but, while using Ferrari & Maserati dealers for the 8c made sense, I didn't see where they were going to get the dealer network to support base model lineup that they need to sell and support in quantity if they are going to have a successful re-entry into this market. Chrysler also will need a small "city car" lineup if we have another period of high priced petroleum. Of course if the recession turns into depression and lasts 10 years, there probably won't be a big enough demand for gas to cause us any real shortages or upward price pressure for some time.

What a turnaround! Honestly, I'm happy that the Renault/Nissan Alliance didn't include Chrysler. I still don't believe that Chrysler can get out of the whole it created. However, I do believe, if Chrysler lives, that the deals made with Nissan about the Versa being Chrysler-badged and the conception of a Dodge Ram-based Nissan pick-up can profit to both companies. The deals are concluded so I expect both sides to make the deals work.
It would be nice to see some more affordable German products in North America. :)
TheStig
What? You're happy the Reanult/Nissan alliance didn't include Chrysler, yet you think them sharing platforms will be profitable to everyone, and you're looking for affordable German cars when we're talking about an Italian car company staking a claim in an American one? WTF?
OPF
Oh... my sorries. Fiat is Italian. Was that such a big mistake!? I'll try not to do such a thing in the future. Lets replace the "german" word by "european". I think it fits better and my sentence stays true to what I meant.
And yes, I still believe that the deals concluded between Chrysler and Nissan will be profitable for both. Its simple. I got money; you got some intelligence that I want to have: how about we make a deal to make the sugar daddy more intelligent and the intelligent guy richer? Sounds fair and profitable for both parties in my opinion, pal. :)
And YES, I'm very happy that Chrysler won't be included into the franco-japanese alliance. In the best case scenario, Chrysler should get out of its financial troubles. In a slightly worst case scenario, Chrysler will die... which (if Chrysler were to be included into the Nissan-Renault Alliance) would hurt very much the Alliance's finances. Renault has financial issues of their own and Nissan got out of more than enough money trouble.
Its not that I wish any kind of bankruptcy for Chrysler. I don't! I just don't want such a well-performing alliance -Nissan/Renault- to pick-up the ashes if Chrysler is to be brought to the cemetery.

I believe that this can be a good thing for both companies - Chrysler, who may get a good small car platform or two, and for Fiat, who will have access to a decent-sized dealer network. I'll be optomistic, it could possibly work out well - There is another thing, though - Wonder which company will receive stewardship of Fiat's (little used these days) secret formula for rust?

Fiat's sunk costs in this are nil. Chrysler's net gain is that they can march in front of Congress and say, "See, the tiger is changing its stripes."It's a non-binding agreement, so Fiat and Chrysler have nothing to lose. Meanwhile, Fiat gets familiar with Chrysler's assets before anyone else, assuming there might be a buyer. So all this does is make a few headlines and solves nothing. You won't get Fiats in showrooms anytime soon, other than the Suzuki SX4. Fiat won't get Chryslers in any showrooms anytime either.
I'd be surprised if Chrysler lives long enough to see any "synergies" come to fruition.
Anyone else remember the early 1990s when Alfa-Romeo had a deal with Chrysler to sell cars at Chrysler stores. It didn't work.
Jim S.
I just want Alfa back. Hopefully this doesn't bite fiat in the ass.

Being a huge fan of Chrysler most of my life; I can hardly bear to watch it's sad dissolution. Between Daimler's rape and the merciless attacks from a hostile media, my once proud company has been brought to it's knees, and may never recover. I had actually hoped for a Chrysler/Nissan/Renault alliance. The synergies would have worked. Failing that, I can only hope that Chrysler and Fiat can find some way to make this deal work, that allows them both to survive. Unfortunately, I think what will ultimately kill Chrysler is the media's unrelenting hatred of this company. It's said if you repeat something often enough, people will start to believe it; true or not. That is what has happened here. Until the press stands up and begins to defend our domestic industry, neither Chrysler or G.M stand much of a chance with a hostile media circling for the kill. I pray that when these companies fall, they can take down some of the media corporations that did this to them as well, in the ensuing collapse of the North American economy. Sad times for all.

As a current Fiat owner (1981 124 Spider) I'm excited about the alliance. Fiat has been in the dodrums since the mid 70's when they tried to emulate GM. In the last few years they have rekindled the spark that turned out "car of the year" awards and WRC champions in the 60's and 70's. They have focused on what they do best (small fuel efficient cars with SOUL).
In June I was able to drive the new 500 at the annual Fiat gathering .
I would buy one right now as it was more stylish than the Mini and also with more people room with better economy. This one was the basic car with the smallest hp and not the sport model. It was well assembled and compares favorably to the Japanese competition. This is exactly what Chrysler needed as their big cars and trucks are awesome but their small car offerings are not up to par. Fiat would also get what they need and that is a distribution system. This is a true WIN WIN for both companies.
I think what is different about this combination over previous ones are that both companies have strong mutual benefits. Quite frankly Chrysler needs better management. Fiat comes in witha postion of management strength (and profitability)as this is Chryslers last chance. This may be enough incentive for Chrysler to finally get it right. In it's previous alliances, Chrysler always acted in the dominate role and they really did not need their partners. If Chrysler can not make this combination work then they deserve to disappear. Fiat and Nissan will survive.

If they bring the Fiat cars here I sure hope they don't ruin the looks by trying to make them look like small Ram trucks. Enough already.........
